1. Introduction & acceptance
These Terms and Conditions ("Terms") govern your access to and use of the Prosader runtime security gateway and any related services, software, or documentation (collectively, the "Service") provided by Prosader Ltd. ("Prosader", "we", "us", or "our").
By creating an account, accessing, or using the Service, you ("Customer") agree to be bound by these Terms and our Privacy Policy. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.
If you do not agree to these Terms, you must not use the Service.
2. About Prosader
Prosader is an AI agent runtime security gateway. It sits between AI agents and upstream services, evaluating Model Context Protocol (MCP) tool calls against configurable policy rules in real time and producing cryptographically signed audit receipts for every enforcement decision.
Prosader is provided as a software-as-a-service (SaaS) product, with a self-hosted gateway binary available on certain plans.
3. Subscriptions and billing
Plans and payment
Access to the Service is provided on a subscription basis. Current plan details, including features and pricing, are set out on the Pricing page of our website and may be updated from time to time. By selecting a paid plan you agree to pay the applicable subscription fees.
Subscription fees are billed in advance on a monthly or annual basis (as selected at sign-up) and are non-refundable except as expressly set out in these Terms or required by applicable law.
Renewals
Subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date. We will send a renewal reminder at least 7 days before the renewal date.
Payment failure
If payment is not received within 14 days of the due date, we reserve the right to suspend access to the Service until outstanding amounts are settled. We will provide reasonable notice before any suspension.
Cancellation
You may cancel your subscription at any time via the customer portal or by emailing legal@prosader.com. Cancellation takes effect at the end of the current billing period. No refunds are issued for unused time within a billing period.
4. Free trial
We may offer a free trial period (currently 14 days) to new customers. During the trial, you have access to the Service at no charge. At the end of the trial period, you must enter payment details to continue using the Service; if you do not, access will be suspended.
We reserve the right to modify or withdraw the trial offering at any time.
5. Acceptable use
You agree not to use the Service to:
- Violate any applicable law or regulation, including data protection laws
- Circumvent, disable, or interfere with security controls or enforcement rules within the Service
- Reverse-engineer, decompile, or disassemble any part of the Service
- Resell, sublicense, or otherwise transfer access to the Service to third parties without our written consent
- Conduct load testing or benchmarking activities that generate disproportionate infrastructure load without prior written agreement
- Transmit malware, viruses, or any code designed to disrupt, damage, or gain unauthorised access to systems
- Process personal data in a manner inconsistent with our Data Processing Agreement
We reserve the right to suspend or terminate access to the Service for any violation of this acceptable use policy, with or without notice depending on the severity of the breach.
6. Intellectual property
Prosader's IP
The Service, including all software, algorithms, documentation, trademarks, and visual interfaces, is owned by Prosader Ltd. and protected by copyright and other intellectual property laws. Nothing in these Terms transfers any ownership of Prosader's intellectual property to you.
Customer data
You retain all ownership of and responsibility for the data you submit to the Service ("Customer Data"), including any personal data processed by AI agents operating through the gateway. Prosader processes Customer Data solely to provide the Service in accordance with your instructions and our DPA.
Feedback
If you provide suggestions, ideas, or feedback about the Service ("Feedback"), you grant Prosader a perpetual, irrevocable, royalty-free licence to use that Feedback for any purpose, including improving the Service, without any obligation to you.
7. Confidentiality
"Confidential Information" means any non-public information disclosed by either party to the other that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.
Each party agrees to: (a) hold the other's Confidential Information in strict confidence using at least the same degree of care it uses to protect its own confidential information, and no less than reasonable care; (b) not disclose Confidential Information to third parties without prior written consent; and (c) use Confidential Information only for the purposes of the business relationship between the parties.
These obligations do not apply to information that: (i) is or becomes publicly available through no fault of the receiving party; (ii) was already known to the receiving party; (iii) is received from a third party without restriction; or (iv) is required to be disclosed by law or court order.
8. Warranties and disclaimers
Prosader warrants that: (a) it has the right and authority to enter into these Terms; and (b) it will use commercially reasonable efforts to provide the Service in accordance with applicable documentation.
THE SERVICE IS PROVIDED "AS IS" AND, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PROSADER DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.
Uptime service level commitments, where applicable, are set out in the plan-specific Service Level Agreement accompanying your subscription.
9. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PROSADER'S TOTAL AGGREGATE LIABILITY TO YOU ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO PROSADER IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM.
IN NO EVENT SHALL PROSADER BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, OR LOSS OF GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Nothing in these Terms limits either party's liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law.
10. Indemnification
You agree to indemnify, defend, and hold harmless Prosader, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of the Service in violation of these Terms; (b) any Customer Data you submit to the Service; or (c) your violation of any applicable law or third-party rights.
11. Term and termination
These Terms commence on the date you first access or use the Service and continue until terminated.
Termination by you
You may terminate your subscription at any time. Termination takes effect at the end of the current billing period.
Termination by Prosader
We may terminate or suspend your access immediately and without notice if you materially breach these Terms. We may terminate for convenience on 30 days' written notice.
Effect of termination
Upon termination: (a) your right to access the Service ceases immediately; (b) Prosader will delete or return your Customer Data in accordance with our DPA; and (c) all outstanding fees become immediately due.
Sections 6 (Intellectual property), 7 (Confidentiality), 9 (Limitation of liability), 10 (Indemnification), and 12 (Governing law) survive termination.
12. Governing law
These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of England and Wales.
The courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms.
13. Changes to these terms
We may update these Terms from time to time. When we make material changes, we will notify you by email at least 30 days before the changes take effect. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of those changes.
If you do not agree to the updated Terms, you may terminate your subscription before the effective date of the changes.
